Sales Order Terms & Conditions

VIDEO DENTAL CONCEPTS (VDC) requires this document to be signed before we ship any order.

 

CONFIRMATION OF VDC AS YOUR VENDOR: In the event that any of the original product(s) ordered and delivered are not satisfactory to

Customer. Customer acknowledges that VDC offers alternative products to the original product(s) ordered and hereby agrees to purchase such

alternative product from VDC in that event that rather than sourcing products through an alternative vendor. The Return Policy will be extended for another

14 days for each alternative product delivered.

 

PAYMENT TERMS: VDC offers various payment methods including check, wire transfer and credit card (MasterCard, VISA, Discover and American Express).

Payment by check will entitle the purchaser to a 1% discount.

 

SALES TAX: VDC does not collect taxes for out-of-state customers. All out-of-state customers are responsible for all sales and use taxes in their own state.

Florida customers must have a Tax-Exempt Certificate on file or pay the appropriate Florida Sales Tax.

 

DELIVERY AND SHIPPING: All delivery dates are based on normal commercial expectancy and are approximate. VDC reserves the right to revise its approximate

delivery up to 30-days from signed order date without default under this Agreement.

 

INSPECTION: Purchaser must inspect the goods upon receipt; it is Purchaser's obligation to immediately notify VDC of any defect or missing parts within

5 business days after UPS Confirmed delivery. Purchaser shall then give a reasonable time to VDC to correct the problem; typically, within 5 days. Prior to

returning any Product, customer must obtain a Return Merchandise Authorization (RMA) number from VDC. You should promptly return the product to VDC

within two (2) days using the UPS call tag. VDC will not accept collect shipments. VDC may charge  you a service fee and the cost of return shipping for any product

returned which is found not to be defective or for a damage that is not covered under warranty.

 

RETURN OF ORDER (DOES NOT APPLY TO EXCHANGE OR WARRANTY): Our Return Policy is stated here as well as on your invoice.

Return Policy: Returns will NOT be accepted without a Return Merchandise Authorization number. Goods received without an RMA # will be refused.

Goods must be in new condition and in their original packaging with all manuals and accessories included. Missing items will be charged to customer's

account. For item(s) returned past 30 days (not to exceed 60 days) a 10% restocking fee will be deducted as well as the shipping/handling and processing fees.

If in-office training and/or support was performed, a minimum of $1,200 (per visit) will be retained as services have been rendered. No returns accepted after

60 days unless otherwise approved (determined on a case-by-case basis). Approved returns past 60 days will be in the form of an in-store credit valid for

one year. Shipping charges are customer's responsibility on any returned goods. NO RETURNS on activated software or special-order items. Warranty Policy: Manufacturer’s warranty: Manufacturer’s warranty effective at invoice date.

 

WARRANTY: Except as otherwise noted at time of purchase or as may be required by law, the manufacturer warranty period is to be passed to the end

user and varies per product. VDC may charge you a service fee and the cost of return shipping for any product returned which is not covered under

warranty or which is found not to be defective. VDC makes no other warranty of any kind, express or implied.

 

In the event of a breach by VDC, of any of the terms, provisions, or warranties under this contract VDC's  liability shall be limited to replacement  of any

goods that are the subject of any such breach, default, or violation . Such replacement shall be your sole and exclusive remedy. In no event shall VDC be

liable for lost profits, injury to good will or any other special. incidental, or consequential damages.

 

EXCLUSIONS: These warranties do not apply to any Product which has been (i) altered, except by VDC or in accordance with its instructions, or (ii) used in conjunction with another vendor's product resulting in the defect, or (iii) damaged by improper environment, abuse, misuse, accident, or negligence. Replacement parts furnished under this warranty may be refurbished or contain refurbished components. The foregoing warranties and limitations supersede any warranty of merchantability or fitness for a particular purpose.

 

INITIAL SET UP AND ACCEPTANCE

  • Initial Set-Up- Prices are factory direct and include one (1) hour original set up on one computer and one (1) hour training via web remote protocol and phone

     Or a maximum of 2 hours total. This requires either a cell phone or a cordless phone in that operatory and high-speed Broadband Internet connection either through

     OSL. T-lines or cable. Initial Set-Up for Sensors is $295, and cameras are $195.

  • Additional set up of cameras or sensors on workstations beyond the two (2) hour allotment will be billed at $25 per 15 minutes. Training is available and will be in

15 Minutes increments. Additional Staff training will also be billed in increments of $25 per 15 minutes.

TECHNICAL SUPPORT:

  • Following initial set up and training, VDC shall provide technical support for optimization for a period of sixty (60) days via telephone support and/or on -line remote

support free of charge.

  • After the sixty (60) day support period, support will be available at the rate of $25.00 per 15 minutes hour for cameras and $25 per 15 minutes for sensors, unless the practice is covered by a service plan or the service call is caused by a failure or defect in the equipment purchased from In that case, there will be no charge for the service call as long as the equipment is still covered by the Warranty as specified herein.

 

SPECIAL CONDITIONS FOR DIGITAL PAN SOLUTIONS:

New Digital Pan and Pan/Ceph, 3D, are priced net of delivery. Installation and in office training is additional with a minimum fee of $1,500 to be further negotiated on a case oy case basis based upon specific logistics ana travel needs.

 

TRADE-INS and CREDIT: VDC will gladly apply the credit at the time of sale but reserves the right to charge the amount credited if the trade equipment is not received within 15 days from

the original purchase.
